Welcome to ReconnectIQ, a software-as-a-service (SaaS) platform provided by ReconnectIQ ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the ReconnectIQ platform, including our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent (e.g., a school, university, or organization). By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration and Responsibilities

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information, such as your name, email address, and organization details. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Security

You agree to notify us immediately at support@reconnectiq.com if you suspect any unauthorized access to or use of your account.

3.3 Account Usage

You may not share your account with others or use the Service for any unlawful or unauthorized purpose.

4. Services Provided

ReconnectIQ provides a platform for educational institutions to enrich, monitor, and manage alumni and donor data. Our Service includes:

• A 3-phase data optimization process (initial cleanup, monthly monitoring, annual refresh).
• Features such as lost alumni recovery, visual dashboards and reporting, geographic segmentation, and outreach automation (e.g., LinkedIn invites, email drip sequences).
• Exporting of data or integration with customer relationship management (CRM) systems to provide updated constituent data.

We reserve the right to modify, suspend, or discontinue any part of the Service at our discretion, with or without notice.

5. Subscription and Payment

5.1 Subscription Plans

Access to the Service is provided on a subscription basis. Pricing details are available on our website.

5.2 Payment Terms

You agree to pay all fees associated with your subscription plan. Fees are billed annually in advance and are non-refundable, except as required by law.

5.3 Price Changes

We may adjust pricing for the Service at any time. We will notify you at least 30 days in advance of any price changes affecting your subscription.

5.4 Taxes

All fees are exclusive of applicable taxes, which you are responsible for paying.

6. User Data and Responsibilities

6.1 Your Data

You may upload data to the Service, such as alumni or donor records ("User Data"). You retain ownership of your User Data and grant us a non-exclusive, worldwide, royalty-free license to use, process, and store this data solely to provide and improve the Service.

6.2 Data Accuracy

You are responsible for ensuring the accuracy, legality, and appropriateness of all User Data you provide. You represent and warrant that you have all necessary rights, consents, and permissions to upload and process User Data through the Service, including compliance with applicable privacy laws (e.g., GDPR, CCPA).

6.3 Prohibited Conduct

You may not use the Service to:

• Violate any laws, regulations, or third-party rights.
• Upload or transmit harmful code, malware, or viruses.
• Engage in unauthorized access, data scraping, or interference with the Service.
• Use the Service for any purpose other than its intended use as an alumni data enrichment tool.

7. Intellectual Property

7.1 Our IP

The Service, including its software, design, trademarks, and content (excluding User Data), is owned by ReconnectIQ and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.

7.2 Limited License

We grant you a non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your subscription term, subject to these Terms.

8. Privacy and Data Security

We take the privacy and security of your data seriously. Our collection, use, and protection of personal data are governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

9. Confidentiality

We will treat your User Data as confidential and will not disclose it to third parties except as necessary to provide the Service (e.g., to our subprocessors for data enrichment) or as required by law. We maintain reasonable technical and organizational measures to protect your data from unauthorized access or disclosure.

10. Termination

10.1 By You

You may terminate your account at any time by contacting us at support@reconnectiq.com. Termination does not relieve you of your obligation to pay any outstanding fees.

10.2 By Us

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees, or if we believe your use of the Service poses a risk to us or other users.

10.3 Effect of Termination

Upon termination, your access to the Service will cease, and we may delete your User Data after 30 days, unless otherwise required by law.

11. Disclaimers and Limitation of Liability

11.1 As-Is Basis

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 No Guarantee

We do not guarantee that the Service will be uninterrupted, error-free, or meet your specific requirements. Data enrichment results may vary based on the quality and availability of third-party data sources.

11.3 Limitation of Liability

To the maximum extent permitted by law, ReconnectIQ shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service, including loss of data, profits, or goodwill. Our total liability shall not exceed the fees paid by you in the preceding 12 months.

12. Indemnification

You agree to indemnify and hold ReconnectIQ harmless from any claims, losses, or damages (including reasonable attorneys' fees) arising from your use of the Service, your User Data, or your violation of these Terms or applicable laws.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in Delaware, conducted under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for claims related to intellectual property or confidentiality.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or emailing you at the address associated with your account. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.
